Primalista Licence Agreement

1. Parties

This agreement is between Primal Alternative Pty Ltd (referred to as "Primal Alternative") and You (the "Primalista").

2. Cooling-Off Period

You have 7 days to try the materials and request a full refund if you change your mind. No refunds after this period.

3. Licence Terms

Fees include a one-time Licence Fee and an ongoing Monthly Membership Fee. Payments can be made either upfront or through a payment plan. If you terminate the agreement early or after the 7-day cooling-off period, any unpaid fees from the Payment Plan will become immediately due. By signing up for a Primalista Licence, you agree to be bound by the terms and conditions of this agreement.

4. Taking a Break

Short Breaks allowed with notice. Fees still apply unless waived. Extended Leave available for up to 36 months with a $39 admin fee.

5. Responsibilities of Primalistas

Approvals: Before producing for sale, you must:

  • Obtain food business registration under your local Food Act or equivalent legislation and provide proof to Primal Alternative.
  • Provide proof of insurance coverage.
  • Complete any required food handling training.
  • Follow recipes, packaging, and pricing guidelines. Keep all materials confidential.
  • Take responsibility for your business.

6. Primal Alternative’s Responsibilities

We provide recipes, training, and support. Access to a community and promotional tools on our website.

7. Collaborative Brand Sub-Licences

Optional sub-licences available with separate terms, including royalty payments and adherence to guidelines.

8. Termination

You can terminate with 7 days' notice by email to [email protected]. On the third default of payment, the licence is revoked, and the remaining Licence Fee becomes due. Breach of terms, non-payment, or conduct that harms the brand will result in termination.

9. Restrictive Covenant

For 12 months post-termination, you cannot sell similar products or start a competing business.

10. Consumer Guarantees

You are responsible for product quality and must resolve any consumer complaints.

11. Intellectual Property

Recipes, branding, and resources are protected and may not be disclosed or used outside the scope of this agreement.

12. Disclaimer, No Guarantee or Warranty

Primal Alternative does not guarantee financial success. Your results depend on your efforts.

13. Dispute Resolution & Mutual Non-Denigration

Disputes will be resolved through negotiation or mediation. Negative public comments or defamation will lead to compensation claims.

14. Jurisdiction

Governed by the laws of Western Australia.
